Terms for using NovumDesk.

1) Acceptance of Terms

By accessing or using NovumDesk, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2) Eligibility

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3) Accounts & Security

• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must provide accurate account information and keep it up to date.
• Notify us promptly of any unauthorized access or security incident involving your account.

4) Plans, Billing & Taxes

• Subscriptions: Paid plans renew automatically until canceled.
• Trials: Trial features may change, and trials may end automatically unless you upgrade.
• Payments: Payments are processed by third-party payment processors. We do not store full payment card details.
• Taxes: You are responsible for applicable taxes, duties, or government assessments associated with your use.
• Refunds: Refunds, if any, are provided in accordance with our posted refund policy or as required by law.

5) Customer Data & Content

The Service allows you to submit, store, and process content including tickets, messages, attachments, and customer/contact information (“Customer Data”).

• You own your Customer Data and are responsible for it.
• You represent you have the rights and lawful basis to collect and process Customer Data using the Service.
• You agree not to upload content that violates laws, third-party rights, or these Terms.
• We may process Customer Data to provide and secure the Service, as described in our Privacy Policy.

6) Acceptable Use

You agree not to misuse the Service. You must not, and must not attempt to:

• Break the law or encourage illegal activity
• Send spam, phishing, or malware, or distribute harmful code
• Probe, scan, or test the vulnerability of the Service without authorization
• Access accounts or data you do not have permission to access
• Interfere with or disrupt the Service (including rate limits and abuse controls)
• Reverse engineer the Service, except to the extent permitted by law
• Use the Service to process sensitive data without appropriate safeguards (e.g., regulated health data) unless explicitly agreed

7) Integrations

If you connect third-party services (such as email providers), you authorize NovumDesk to access and process the data needed to provide the integration. Third-party services are governed by their own terms and policies. We are not responsible for third-party services.

8) Intellectual Property

• The Service, including software, branding, and design, is owned by NovumDesk or its licensors.
• We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription.
• You may not copy, resell, lease, or sublicense the Service unless permitted in writing.
• Your feedback may be used by us without restriction or compensation.

9) Suspension & Termination

We may suspend or terminate your access to the Service if you violate these Terms, pose a security risk, or if required by law. You may stop using the Service at any time. Upon termination, your right to use the Service ends.

We may provide reasonable notice where feasible, but may suspend immediately to protect the Service, users, or third parties.

10) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVUMDESK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVUMDESK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOVUMDESK’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO NOVUMDESK FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR $100 IF YOU HAVE NOT PAID ANY AMOUNTS).

12) Indemnification

You agree to defend, indemnify, and hold harmless NovumDesk from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your Customer Data, or your violation of these Terms.

13) Changes to Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms on this page and update the “Last Updated” date. Continued use of the Service after changes become effective means you accept the updated Terms.

14) Governing Law

These Terms are governed by the laws of the jurisdiction where NovumDesk is established, without regard to conflict of law principles. You agree that any dispute will be brought in the courts of that jurisdiction, unless applicable law provides otherwise.
